These Terms of Use are an agreement between you and Veradigm, and by accessing or using this Veradigm computer application, you agree to be bound by such terms. We reserve the right, at our discretion, to change any of these terms in the future. If you do not agree to these Terms of Use, you may not access or otherwise use the Veradigm computer application.

This computer application is the property of Veradigm Inc. and is for authorized use only by authorized users. Authorized users are treated according to the Privacy Policy and contractual provisions. Veradigm may report any unauthorized or improper use of this application to law enforcement officials or other authorities and all use and/or data may be monitored, intercepted, recorded, read, copied, or captured in any manner and disclosed in any manner, by authorized personnel as permitted by law. Unauthorized or improper use by a user may result in civil and criminal penalties. USERS HAVE NO RIGHT OF PRIVACY IN THIS SYSTEM. USE OF THIS SYSTEM BY ANY USER, AUTHORIZED OR UNAUTHORIZED, CONSTITUTES CONSENT TO THIS MONITORING, INTERCEPTION, RECORDING, READING, COPYING, OR CAPTURING and DISCLOSURE.

Conduct; Compliance with Laws and Terms of Use (ToU)
You agree to use this site only for purposes that are permitted by these ToU and any other agreement you have with us as a Veradigm client, and only in the course of your work for us or your organization in accordance with an applicable Veradigm Client Agreement. You may use this site, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, inappropriate or objectionable and does not consist of or contain political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam.” Veradigm reserves the right (but not the obligation) to remove or edit any such illegal or unauthorized content but does not regularly review posted content. You may not
(a) engage in any commercial solicitations (including sales and recruitment activities) using any information or other items from Veradigm;
(b) reverse engineer, modify, reproduce, republish, or prepare derivative works based on, distribute, sell, transfer, publicly display, publicly perform, or transmit, in connection with your use of, or any content or information obtained from, this site;
(c) disguise the origin of information transmitted through this site;
(d) place false or misleading information on this site;
(e) input or upload any information which contains malware, ransomware, viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, interfere with, intercept or expropriate any content, information or this site or that infringes the intellectual property rights of another; or
(f) use or access this site in any way that, in Veradigm sole discretion, adversely affects the performance or function of this site or interferes with the ability of other authorized users to access this site.

You agree to comply with all applicable laws, these ToU, and your organization's applicable usage guidelines (to the extent such guidelines do not conflict with these ToU). In addition, You may not: use the service in any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries); use the service for the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise; use the service to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam” or any other similar solicitation; impersonate or attempt to impersonate Veradigm, a Veradigm employee, another user or any other person or entity, including by utilizing another user’s identification, password, account name or persona without authorization from that user; use the service in any manner that could disrupt, disable, overburden, damage, or impair the service for you or others (including the ability to send timely notifications through the service), via various means including overloading, “flooding,” “mailbombing,” “denial of service” attacks, or “crashing;” use any manual process to monitor or copy any of the material made available through this site or for any other unauthorized purpose without our prior written consent; attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the service, the server on which the service is stored, or any server, computer or database connected to the service; attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures; take any action in order to obtain services to which not entitled; attempt any action designed to circumvent or alter any method of measuring or billing for utilization of the service; otherwise attempt to interfere with the proper working of the service; shall not use any personal password or commonly used password that is used for other services, applications, software, or systems; shall not use a password that has been compromised; shall not re-use a previously used password; and shall not use generic logins and shall only use unique log ins where each individual is assigned their own separate and unique user name and password.
